MentorCity Terms of Use
1. About these Terms
These Terms of Use (“Terms”) are a legal agreement between you and MentorCity Inc. (“MentorCity”, “we”, “us”). They apply to your use of the MentorCity website, web platform, mobile apps, and related services (together, the “Services”).
By accessing or using the Services, you agree to these Terms and to our Privacy Policy, which is part of these Terms. If you do not agree, please do not use the Services.
2. Your organization’s program
Most people use MentorCity because an organization, such as an employer, school, association, or government body, has licensed the Services and invited them to join its mentoring program (“your Organization”).
Your Organization has its own agreement with MentorCity. If there is a conflict between these Terms and that agreement, the agreement between MentorCity and your Organization takes priority. Your Organization may also have its own policies, guidelines, or code of conduct for its program, and you agree to follow them.
Your Organization decides who may join its program, how the program runs, and when access ends. Questions about your participation, such as eligibility, matching, or re-joining, should go to your Organization.
3. Eligibility and accounts
You must be at least 16 years old to use the Services, unless you are taking part in a youth program set up by your Organization (see section 6).
You agree to provide accurate information and keep your profile up to date. You are responsible for keeping your password secure and for all activity under your account. Please tell us right away at privacy@mentorcity.com if you believe your account has been used without permission. Where your Organization uses single sign-on, your Organization’s own security rules also apply.
4. Acceptable use
MentorCity is a space for building respectful, trusting relationships. When using the Services, you agree not to:
- Harass, bully, threaten, intimidate, or discriminate against anyone
- Post or send content that is unlawful, defamatory, hateful, sexually explicit, or violent
- Share another person’s personal information without their permission
- Impersonate anyone or misrepresent your identity, credentials, or affiliation
- Use the Services to sell, advertise, recruit, or solicit other participants for commercial purposes, unless your Organization’s program allows it
- Send spam or bulk unsolicited messages
- Upload content that infringes someone else’s copyright, trademark, or other rights
- Upload viruses or malicious code, or try to gain unauthorized access to the Services, other accounts, or our systems
- Scrape, copy, or extract data from the Services by automated means
- Interfere with or disrupt the Services or their security
We do not routinely monitor accounts, but we may investigate suspected violations. If we believe these Terms have been broken, we may remove content, or suspend or end your access, and we may inform your Organization. Where appropriate, we will report unlawful activity to the authorities.
5. Mentoring relationships
Mentoring on MentorCity happens between participants. Mentors share their own experience and perspective. Their guidance is not professional advice (such as legal, medical, financial, or career counselling advice), and MentorCity does not verify it. You are responsible for your own decisions.
MentorCity does not screen or supervise participants unless your Organization has arranged this as part of its program. If you choose to meet another participant in person, please use good judgment, meet in a public place, and follow your Organization’s guidelines.
If another participant makes you feel unsafe or violates these Terms, please report it to your Organization’s program administrator or to us at info@mentorcity.com.
6. Youth programs
Some Organizations use MentorCity for programs involving young people under 18. In these programs, the Organization is responsible for obtaining any required parent or guardian consent, for screening mentors in line with its own safeguarding policies, and for supervising the program. Participants in youth programs must follow any additional safety rules set by the Organization.
7. AI features
The Services include optional artificial intelligence features, such as Lexa, our AI mentor, and other AI-powered tools that support mentoring, for example notes and summaries.
AI outputs are generated automatically and may sometimes be inaccurate, incomplete, or inappropriate. They are suggestions only, not professional advice, and you should use your own judgment before relying on them. You agree not to use AI features to create content that violates section 4, or to try to make them produce harmful content. How we handle data in AI features is described in our Privacy Policy.
8. Your content and data
“Your content” means the information you add to the Services, such as your profile, messages, goals, and notes.
Your Organization owns its program data, as set out in its agreement with MentorCity. Whoever owns the program, you keep your rights over your own personal information under privacy law, including the right to access, correct, and request deletion of it, as described in our Privacy Policy.
You give MentorCity a limited, non-exclusive licence to host, store, process, and display your content only as needed to provide the Services to you and your Organization. We do not sell your content or your personal data. You confirm that you have the right to share the content you add.
We back up data daily and take reasonable steps to protect it, but no system is perfect. We recommend keeping your own copy of anything important.
9. MentorCity’s intellectual property
The Services, including the software, design, text, graphics, logos, and other materials, are owned by MentorCity or its licensors and are protected by copyright, trademark, and other laws. We give you a limited, non-transferable right to use the Services for your Organization’s program in line with these Terms. You may not copy, modify, distribute, sell, or reverse engineer any part of the Services without our written permission.
Other trademarks and logos shown on the Services belong to their respective owners.
If you send us feedback or suggestions, we may use them freely without any obligation to you.
10. Third-party services and mobile apps
The Services connect with third-party services, such as video conferencing, calendar tools like Google Calendar and Microsoft Outlook, and single sign-on providers. Your use of those services is governed by their own terms and privacy policies, and MentorCity is not responsible for them.
If you download our mobile apps from the Apple App Store or Google Play, the store’s terms also apply. The app stores are not responsible for the apps or for supporting them.
11. Disclaimers
We work hard to keep the Services available, secure, and accurate, but they are provided “as is” and “as available”. To the extent permitted by law, MentorCity does not promise that the Services will be uninterrupted or error-free, that any particular mentoring outcome will be achieved, or that content provided by participants or AI features is accurate. MentorCity is not responsible for the conduct of any participant, online or offline.
12. Limitation of liability
To the extent permitted by law, MentorCity and its directors, officers, employees, and agents will not be liable for any indirect, special, incidental, or consequential damages, or for loss of profits, revenue, data, or goodwill, arising from or related to the Services or these Terms.
Where your Organization has an agreement with MentorCity, the limits of liability in that agreement apply. Otherwise, MentorCity’s total liability to you will not exceed $100 CAD.
Nothing in these Terms limits any rights you have under consumer protection laws that cannot be excluded by contract, or limits liability for fraud, gross negligence, or wilful misconduct.
13. Indemnity
If you use the Services in breach of these Terms or the law, and this leads to a claim against MentorCity, you agree to cover MentorCity’s reasonable losses and costs arising from that breach, to the extent permitted by law.
14. Ending your access
You may stop using the Services at any time, and you can deactivate your account in your account settings. Your access may also end when your Organization’s program or its agreement with MentorCity ends, or if your Organization removes you from its program.
We may suspend or end your access if you break these Terms, if required by law, or to protect the safety of participants or the security of the Services. Sections 8, 9, and 11 to 18 continue to apply after your access ends.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and change the date at the top. If a change is material, we will give reasonable notice, for example by email, by a notice in the platform, or through your Organization. Continuing to use the Services after the changes take effect means you accept the updated Terms.
16. Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, unless your Organization’s agreement with MentorCity specifies a different governing law, in which case that law applies. Disputes will be resolved in the courts of Ontario, or in the courts named in that agreement, unless the law where you live gives you the right to bring a claim in your local courts.
17. General
If any part of these Terms is found to be unenforceable, the rest remains in effect. If we do not enforce a right under these Terms, that does not mean we have waived it. You may not transfer your rights under these Terms without our consent. These Terms, the Privacy Policy, and any agreement between MentorCity and your Organization make up the entire agreement about your use of the Services.
